Terms of Service

1. Agreement to Terms

By accessing or using S.T.A.R. ERP ("the Platform"), operated by S.T.A.R. Labs Technology ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform. These terms apply to all users, including organizational administrators, team members, and client portal users.

2. Description of Service

S.T.A.R. ERP is a cloud-based enterprise resource planning platform that provides CRM, HR, finance, project management, operations, and AI-powered business tools. The Platform is provided as a Software-as-a-Service (SaaS) product accessible via web browser.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years of age to use the Platform.
• One person may not maintain more than one account.
• You are responsible for all activity that occurs under your account.

4. Organizations & Data Ownership

When you create an organization, you become the Organization Owner. You retain full ownership of all data entered into your organization. We do not claim any intellectual property rights over your business data, documents, or content.

Organization Owners are responsible for managing their team members, roles, and permissions. Data within each organization is isolated and inaccessible to other organizations.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or to violate any laws
• Attempt to gain unauthorized access to other organizations' data
• Reverse engineer, decompile, or disassemble any part of the Platform
• Upload malicious code, viruses, or harmful content
• Use the Platform to send spam or unsolicited communications
• Interfere with or disrupt the Platform's infrastructure
• Resell, sublicense, or redistribute access to the Platform without authorization
• Use automated tools to scrape or extract data beyond API rate limits

6. Subscription Plans & Billing

6.1 Plans

The Platform offers Free, Pro, and Enterprise plans. Features and limits vary by plan as described on our Pricing page.

6.2 Payment

Paid plans are billed monthly or annually in advance. Payments are processed securely via Stripe. All fees are non-refundable except as required by Australian Consumer Law.

6.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the end of the current billing cycle. If you exceed the limits of your current plan, we may ask you to upgrade.

6.4 Cancellation

You may cancel your subscription at any time from Settings. Access continues until the end of the paid period. After cancellation, your data is retained for 30 days before permanent deletion.

7. Client Portal

Organizations may invite external clients to access a limited Client Portal. Organizations are responsible for managing client access and ensuring their clients comply with these Terms. Client portal users are bound by the same acceptable use policies.

8. AI Features

The Platform includes AI-powered features for proposal generation, analytics, and content assistance. AI-generated content is provided "as is" and should be reviewed before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated output. You are responsible for all content you publish or send, including AI-assisted content.

9. API & Integrations

Access to the API is subject to rate limits based on your plan. API keys are confidential and must not be shared publicly. We reserve the right to throttle or suspend API access in cases of abuse. Third-party integrations (Google Workspace, Stripe, etc.) are subject to the respective third party's terms of service.

10. Intellectual Property

The Platform, including its design, code, features, and branding, is the intellectual property of S.T.A.R. Labs Technology. You may not copy, modify, or create derivative works of the Platform. Your use of the Platform does not grant you any ownership rights in our intellectual property.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. Enterprise customers with SLA agreements receive uptime guarantees as specified in their service agreement.

12. Limitation of Liability

To the maximum extent permitted by law, S.T.A.R. Labs Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform.

Our total liability for any claim arising from your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless S.T.A.R. Labs Technology from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. You may terminate your account at any time. Upon termination, your data will be retained for 30 days before permanent deletion.

15. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. Any disputes shall be resolved in the courts of Victoria, Australia. Nothing in these Terms excludes or limits rights under Australian Consumer Law that cannot be excluded.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
